Cresco Labs closed a $50 million deal to acquire nine PharmaCann dispensaries across Pennsylvania, cementing its position as the state's largest medical marijuana retailer and wholesaler.
The acquisition gives Cresco 19 operational dispensaries in Pennsylvania, making it the dominant player in a market that generated over $1.8 billion in medical cannabis sales last year. The company already operates cultivation and processing facilities in the state.
"Pennsylvania represents one of the most attractive medical cannabis markets in the country," said Charles Bachtell, CEO of Cresco Labs, in a statement. "This acquisition strengthens our vertical integration and expands our direct patient access in a state where we've built strong brand recognition."
The Footprint
The nine PharmaCann locations span key Pennsylvania markets including Pittsburgh, Scranton, and the Lehigh Valley. Cresco will retain all existing staff at the acquired dispensaries, which will transition to the Sunnyside brand over the coming months.
PharmaCann, which maintains operations in Illinois, Maryland, Massachusetts, and Ohio, is exiting Pennsylvania entirely with this sale. The company did not disclose reasons for the divestiture, but consolidation among multi-state operators has accelerated as smaller players struggle with capital constraints and profitability pressures.
Pennsylvania's medical program, launched in 2018, serves roughly 450,000 registered patients. The state does not allow recreational cannabis sales, but a limited medical program permits flower, concentrates, edibles, and topicals for qualifying conditions.
Market Dominance
Cresco's expanded retail presence gives it significant advantages in Pennsylvania's competitive landscape. The company manufactures popular brands including Cresco, High Supply, and Good News in the state, and the additional dispensaries provide guaranteed shelf space for its wholesale products.
Industry analysts say vertical integration—controlling cultivation, processing, and retail—has become critical for MSO profitability as wholesale prices have declined across most state markets. Pennsylvania wholesale flower prices dropped roughly 30% in 2024 compared to the prior year, according to market data.
The deal comes as Cresco continues streamlining operations after pulling out of New York and Massachusetts markets in 2023. The company reported $210 million in revenue for Q3 2024, with Pennsylvania representing one of its strongest state-level performances.

Cresco expects the integration to be complete by mid-2025. The company said it will maintain PharmaCann's existing loyalty programs during the transition to minimize patient disruption.
Pennsylvania lawmakers have discussed adult-use legalization for several years, but efforts have stalled in the state legislature despite support from Governor Josh Shapiro. If recreational sales are approved, existing medical operators like Cresco would have first access to adult-use licenses.
The transaction was funded through Cresco's existing credit facilities and did not require additional equity raises. The company said it remains focused on achieving positive EBITDA across all operating states by the end of 2025.
